    Clear terms for our services

    1. Definitions

    "Client" refers to the business or individual purchasing services from Keystone AI. "Service" includes all products, deliverables, and activities provided by Keystone AI. "CRM" means the customer relationship management platform used. "AI Agent" refers to Keystone AI's automated voice calling technology. "Website" refers to any site developed by Keystone AI for the Client.

    2. Company Details

    These Terms and Conditions apply to all services provided by Keystone AI App Ltd trading as Keystone AI, registered in England and Wales with company number 16885347. Registered address: Unit 6-7 Harlescott Barns, Battlefield Enterprise Park, Shrewsbury, SY1 3SY.

    3. Scope of Services

    These terms cover all service packages offered by Keystone AI, including but not limited to: Starter, Response, Pro, and the Keystone Growth System. Services may include AI-powered voice call handling, CRM configuration, website creation, review and reputation automation, referral tracking, reactivation campaigns, and social media content management.

    4. Service Agreements and Commitments

    All packages are offered on a rolling monthly basis unless stated otherwise. There is no minimum contract period. Clients may cancel at any time with 30 days' written notice. Setup fees are billed upfront and are non-refundable. Monthly billing begins upon activation of the agreed service package. Keystone AI reserves the right to suspend or terminate services without notice if the Client breaches these terms, uses services for unlawful purposes, or causes reputational harm.

    5. Client Responsibilities

    Clients must provide accurate and complete business information, update their CRM data regularly, and cooperate during onboarding. Clients are responsible for maintaining GDPR-compliant customer data provided to Keystone AI platforms.

    6. Website Ownership

    Websites developed under any package remain the property of Keystone AI while the client maintains an active subscription. Clients retain rights to their client data at all times. Upon termination, clients may request to retain the website for a one-time transfer fee of £195, subject to written confirmation by Keystone AI. This ownership clause applies to the website only and does not extend to the CRM platform.

    7. Billing and Payment

    All setup fees and monthly service fees are billed monthly in advance and are subject to VAT unless otherwise stated. Payments must be made via Direct Debit. Late payments will incur a £25 fee, and services will be paused after 7 days of non-payment.

    Usage Credits and Transparency: Your monthly subscription covers the system, automation, and our support. Every package includes £30 of usage credits each month for text messages, emails, and additional AI call minutes. Usage costs (phone calls, text messages, AI minutes) beyond included allowances are passed through at cost with zero markup.

    AI Call Minutes: Response packages include 200 AI minutes/month. Pro and Keystone Growth System packages include 350 AI minutes/month. Overage charges, if applicable, are billed at cost at the end of each billing cycle. Clients are notified when reaching 80% of their included allowance.

    8. Consent to AI Communication

    By entering into this agreement, the Client acknowledges and agrees that automated AI voice agents may initiate communication, including calls, for purposes such as support, service updates, and lead handling. These calls may be recorded for quality assurance and training purposes.

    9. Data and Privacy

    Keystone AI adheres to GDPR standards. Data is processed only for purposes directly connected to service delivery. The Client remains the data controller for all customer data processed through our systems. Keystone AI and its partners act as data processors only and will implement appropriate technical and organisational measures to meet GDPR requirements.     10. Service Limitations and Liability

    Keystone AI shall not be liable for indirect or consequential losses, including loss of revenue or business. Maximum liability is limited to the total value of services paid in the previous 30 days. Keystone AI shall not be liable for interruptions or failures caused by third-party services such as CRM platforms or communication providers.

    11. Termination

    Clients may cancel any time with 30 days' notice. Keystone AI may suspend or terminate services for breach of terms, including late payment or misuse of systems.

    12. Intellectual Property

    All custom workflows, automations, content, and integrations developed by Keystone AI remain the intellectual property of Keystone AI while the client is subscribed. Clients may pay a £195 release fee to retain ownership of the website after ending the service.

    13. Complaints and Disputes

    Complaints should be submitted in writing to support@keystoneai.uk. Keystone AI will respond within 10 working days. If unresolved, disputes will be escalated to a designated manager. No refunds are offered for setup fees.

    14. Amendments

    Keystone AI may update these terms periodically. Clients will be notified of significant changes via email at least 14 days before they take effect.

    15. Force Majeure

    Keystone AI shall not be held liable for delays or failure to perform resulting from events beyond its reasonable control, including but not limited to natural disasters, legal or regulatory changes, power outages, internet disruption, or third-party service failures.

    16. Governing Law

    These terms are governed by the laws of England and Wales. Disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
